These Terms and Conditions (“Terms”) govern your access to and use of directcampaigns.com and the services provided by Direct Campaigns.

By accessing our website, creating an account, purchasing services, submitting a project, or otherwise using Direct Campaigns, you agree to these Terms.

If you are using Direct Campaigns on behalf of a campaign, political committee, organization, business, or other entity, you represent that you are authorized to accept these Terms on that entity's behalf.

1. About Direct Campaigns

Direct Campaigns provides campaign communication and marketing services that may include:

  • Text messaging services
  • Political and direct mail services
  • Digital advertising services
  • Audience and data-related services
  • Creative production
  • Campaign communications
  • Related technology and consulting services

Specific services, pricing, deliverables, timelines, and other project requirements may be governed by a separate proposal, order, statement of work, invoice, platform agreement, or other written agreement.

If a separate written agreement conflicts with these Terms, the separate written agreement will control with respect to that conflict.

2. Eligibility and Account Responsibility

You must be legally capable of entering into a binding agreement to use our services.

If you create an account, you are responsible for:

  • Providing accurate account information
  • Maintaining the confidentiality of your login credentials
  • Limiting access to authorized users
  • Promptly notifying Direct Campaigns of suspected unauthorized access
  • All activity conducted through your account by authorized users

You may not share account access in a manner that compromises the security of the platform or allows unauthorized third parties to use the services.

3. Client Responsibilities

Clients are responsible for the accuracy, legality, and authorization of information, materials, instructions, and data they provide to Direct Campaigns.

This includes responsibility for:

  • Contact and voter lists
  • Telephone numbers
  • Mailing addresses
  • Advertising audiences
  • Creative materials
  • Logos, photographs, videos, and other intellectual property
  • Political disclaimers
  • Committee or organization information
  • Required authorization statements
  • Advertising disclosures
  • Messaging consent records
  • Opt-out records
  • Claims made in advertisements or communications

Clients represent that they have the rights and permissions necessary for Direct Campaigns to use materials and data supplied by the client to perform the requested services.

4. Text Messaging Services

Clients using Direct Campaigns for text messaging are responsible for complying with applicable federal, state, and local laws and regulations, carrier requirements, messaging industry standards, and platform rules.

Clients are responsible for ensuring that appropriate consent has been obtained before sending messages where consent is required.

Clients must maintain and honor applicable opt-out requests.

Clients may not knowingly use Direct Campaigns to send unlawful, fraudulent, deceptive, abusive, threatening, or otherwise prohibited text messages.

Clients are also responsible for providing accurate information required for messaging registration, including information submitted for 10DLC, toll-free verification, short code registration, or similar telecommunications registration processes.

Direct Campaigns cannot guarantee approval of any messaging registration or campaign. Approval decisions may be made by third-party carriers, registries, aggregators, telecommunications providers, or other entities outside Direct Campaigns' control.

Carrier filtering, message blocking, throughput limitations, registration requirements, network outages, and similar telecommunications conditions may affect message delivery.

Direct Campaigns does not guarantee that every message will be delivered.

5. Opt-Out Requests

Text message recipients must be provided with an appropriate method of opting out where required.

Direct Campaigns and its clients must honor applicable opt-out requests.

Standard opt-out keywords may include STOP, and additional words or methods may be recognized by telecommunications providers or applicable law.

Clients may not intentionally circumvent opt-outs, suppression lists, carrier restrictions, or other mechanisms intended to prevent unwanted communications.

6. Political and Direct Mail Services

Mailing services may rely on third-party printing facilities, postal services, delivery services, list providers, and other vendors.

Clients are responsible for reviewing and approving final artwork, copy, disclaimers, addresses, quantities, targeting criteria, and other project specifications before production when approval is requested.

Once printing, production, postage processing, or mailing has begun, an order may not be cancelable or refundable.

Delivery dates may be estimates. Direct Campaigns is not responsible for delays caused by the United States Postal Service, shipping carriers, weather events, equipment failures, supply chain disruptions, incorrect client-provided data, or other circumstances outside our reasonable control.

Direct Campaigns does not guarantee that every mail piece will be delivered to or viewed by its intended recipient.

7. Advertising Services

Direct Campaigns may provide digital advertising services using third-party platforms, websites, publishers, exchanges, networks, or technology providers.

Advertising services may be subject to additional policies established by platforms such as social media networks, search engines, streaming platforms, publishers, or advertising exchanges.

Clients are responsible for ensuring that their advertising content, targeting, landing pages, disclaimers, and claims comply with applicable law and platform requirements.

Direct Campaigns cannot guarantee:

  • Approval of an advertisement
  • Continuous availability of an advertising account
  • Specific advertising costs
  • A specific number of clicks, conversions, leads, votes, donations, impressions, or other outcomes
  • Continued eligibility under a third-party platform's advertising policies
  • Placement on a particular website, application, channel, or inventory source unless expressly agreed in writing

Advertising platforms may reject, restrict, suspend, or remove advertising at their discretion.

8. Political Advertising and Disclaimers

Clients are responsible for identifying and providing legally required political disclaimers, committee information, sponsorship disclosures, authorization statements, and similar information.

Direct Campaigns may assist with formatting or placement of information supplied by a client, but such assistance does not constitute legal advice or a determination that a communication complies with campaign finance, election, advertising, or disclosure laws.

Clients should consult qualified legal counsel regarding applicable political advertising and campaign compliance requirements.

9. Client Data and Contact Lists

Clients retain their rights in contact lists and other proprietary data they provide to Direct Campaigns.

By providing data to Direct Campaigns, the client authorizes Direct Campaigns and its necessary service providers to process that data for purposes of providing the requested services.

Clients represent and warrant that they have a lawful basis and all necessary rights, permissions, or consents to provide and use such data.

Direct Campaigns may reject, suspend, or terminate a project if we reasonably believe data was obtained unlawfully or is being used in violation of applicable requirements.

10. Acceptable Use

You may not use Direct Campaigns to:

  • Engage in unlawful activity
  • Send fraudulent or deceptive communications
  • Impersonate another individual or organization without authorization
  • Distribute malware or malicious content
  • Attempt to gain unauthorized access to systems or accounts
  • Circumvent opt-outs or suppression lists
  • Violate applicable telecommunications, advertising, privacy, campaign, or election laws
  • Infringe intellectual property or privacy rights
  • Interfere with the operation or security of our platform
  • Use data or services in a manner prohibited by applicable third-party providers

We reserve the right to refuse, suspend, or terminate services where we reasonably believe use of our services violates these Terms, applicable law, third-party requirements, or presents a security, fraud, operational, or reputational risk.

11. Pricing and Payment

Pricing for Direct Campaigns services may be provided through quotes, proposals, invoices, order forms, or account interfaces.

Unless otherwise agreed in writing:

  • Fees are due according to the payment terms stated on the applicable invoice or order
  • Advertising spend, postage, printing expenses, data costs, telecommunications charges, platform fees, and similar third-party expenses may be billed separately
  • Clients are responsible for applicable taxes
  • Work may be suspended for overdue balances

Certain third-party costs may be non-refundable once incurred.

12. Cancellations and Refunds

Cancellation and refund eligibility may vary by service.

Costs already incurred for media, postage, printing, data, telecommunications, registration, production, third-party vendors, or other committed expenses may be non-refundable.

Custom work that has already begun may also be partially or fully non-refundable.

Any project-specific cancellation terms included in a proposal, order, invoice, or statement of work will control.

13. Intellectual Property

Direct Campaigns retains ownership of its website, platform, software, processes, documentation, templates, systems, branding, and other proprietary materials unless otherwise agreed in writing.

Clients retain ownership of materials they provide to Direct Campaigns.

Ownership and usage rights for custom creative work produced for a client may be governed by the applicable proposal, statement of work, invoice, or separate agreement.

14. Third-Party Services

Our services depend in part on third-party providers, including telecommunications companies, messaging platforms, printers, postal services, advertising platforms, hosting providers, payment processors, and technology vendors.

We are not responsible for the acts, policies, outages, suspensions, delays, errors, or service changes of third parties outside our reasonable control.

Your use of certain third-party services may also be subject to the third party's own terms and policies.

15. No Guarantee of Results

Direct Campaigns provides communication, advertising, mail, and technology services but does not guarantee particular campaign, business, fundraising, advertising, or electoral outcomes.

Performance may be affected by numerous factors outside Direct Campaigns' control, including audience behavior, creative performance, competition, market conditions, platform algorithms, carrier filtering, voter behavior, postal delivery, and third-party policies.

16. Disclaimer of Warranties

To the fullest extent permitted by law, Direct Campaigns' website and services are provided on an “as available” basis.

Except as expressly stated in a written agreement, Direct Campaigns disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Direct Campaigns will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost opportunities, lost data, or loss of goodwill arising out of or relating to the use of our website or services.

Direct Campaigns will not be responsible for failures or delays caused by third-party telecommunications networks, advertising platforms, postal providers, printers, technology providers, internet services, force majeure events, or other circumstances beyond our reasonable control.

Any additional limitations of liability contained in a separate agreement between Direct Campaigns and a client will also apply.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Direct Campaigns and its owners, officers, employees, contractors, and agents from claims, liabilities, losses, damages, and reasonable expenses arising from:

  • Your violation of these Terms
  • Materials or data you provide
  • Your unlawful use of the services
  • Your violation of third-party rights
  • Communications or advertisements authorized by you
  • Your failure to obtain legally required consent or authorization
  • Your failure to comply with applicable campaign, messaging, privacy, advertising, or election requirements

19. Suspension and Termination

We may suspend or terminate access to services if:

  • Required payments are overdue
  • We reasonably suspect fraud or unauthorized activity
  • Use of the service violates these Terms
  • Continued service may violate applicable law or third-party requirements
  • Continued activity could threaten the security or integrity of our systems or services

Termination does not eliminate payment obligations for services already performed or expenses already incurred.

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any additional dispute resolution, venue, arbitration, or governing law provisions contained in a separate agreement between Direct Campaigns and a client will control where applicable.

21. Changes to These Terms

We may update these Terms from time to time.

Changes will be posted on this page with an updated Effective Date. Continued use of the website or services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
